Royal Group Phnom Penh SEZ Plc. Held the 7th Annual General Shareholders’ Meeting (AGM) 2023

On Thursday 27 April 2023, Royal Group Phnom Penh SEZ Plc. (PPSP) held our 7th Annual General Shareholders’ Meeting at Cambodiana Hotel from 2:00 – 3:30 PM, with the Record date 7 April 2023.

The number of shareholders were:

• Total shareholders: 3,035 holding 71,875,000 shares representing 100%

• Total number of the participants: 67 holding 67,044,960 shares representing 93.3%

The following directors were present at the meeting:

1 Neak Oknha Kith Meng Non-Executive Chairman (absent with apology)

2 Mr. Mark Hanna, Non-Executive Director, Chairman of the meeting

3. Mr. UEMATSU Hiroshi, Executive Director/CEO

4. Mr. Otsubo Hiroshi, Non-Executive Director (Online)

5. Mr. Kang Wei Geih, Independent Director (Online)

6 Dr. Eakapong Tungsrisanguan, Non-Executive Director (Online)

7. Ms. Hep Seka, Independent Director

The Chairman of the meeting mentioned that the “Company has had a successful year, with commendable financial results and continued growth. We have worked tirelessly to maintain our growth trajectory with a strong strategic plan in place and committed to adding and delivering value to our shareholders”.

Last but not least, the shareholders approved on all the five resolutions at the AGM:

1) Approved the Financial Statements for the Year Ended 31 December 2022

2) Approved the election and the re-appointment of the Company Directors for a new mandate

2.1) 2.1. Mr. OTSUBO Hiroshi, Non-Executive Director, 27 April 2023 to 27 April 2025

2.2) 2.2. Mr. Kang Wei Geih, Independent Non-Executive Director, 27 April 2023 to 27 April 2025

3) Approved the Minutes of the Annual General Shareholders’ Meeting of 2022

4) Approved the external auditors’ appointments for the year ending 31 December 2023 Baker Tilly (Cambodia) and the new appointment of BDO (Cambodia) for the year ending 31 December 2024.

5) Approved the Renewal of authority for the Company’s Shares buyback
